DOCUMENT 1: PLATFORM TERMS AND CONDITIONS

1. Introduction and Acceptance of Terms

These Platform Terms and Conditions (the "Terms") constitute a legally binding agreement between you ("you," "User," "Member," "Lister," or "Renter," as applicable) and 9543-1474 Québec Inc., operating as The Rental Agents ("The Rental Agents," "TRA," "we," "us," or "our"), a company constituted under the laws of the Province of Québec, with its registered office at 100 Boul. Alexis-Nihon, Suite 550, Saint-Laurent, Québec, H4M 2P1.

These Terms govern your access to and use of the self-serve listing and peer-to-peer rental marketplace feature of The Rental Agents' website and any associated mobile applications, subdomains, tools, or services (collectively, the "Platform"), through which registered users may create, publish, browse, and respond to residential rental listings, and communicate directly with one another regarding the rental of residential premises, storage, parking, roommate arrangements, or related housing accommodations (collectively, "Listings").

By accessing, browsing, registering for, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Community and Conduct Guidelines, and any other policies referenced herein, each of which is incorporated by reference. If you do not agree to these Terms in their entirety, you must not access or use the Platform.

These Terms apply specifically and exclusively to the self-serve, user-generated marketplace functionality of the Platform (the "Marketplace"), through which individuals list, discover, and negotiate residential rental opportunities directly with one another, without an agent, broker, or employee of The Rental Agents acting as an intermediary, representative, or party to the transaction. These Terms are separate and distinct from, and do not replace, any brokerage service agreement, mandate, or listing agreement you may separately enter into with a licensed real estate broker or agent affiliated with The Rental Agents in a traditional, full-service brokerage capacity.

If you are using the Platform on behalf of a company, landlord entity, or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" shall refer to that organization.

2. Nature of the Platform — A Neutral Marketplace, Not a Brokerage or Party to Your Transaction

2.1 The Rental Agents is a technology platform and listing venue only. The Marketplace exists solely to allow Users to publish, discover, and communicate about residential rental opportunities. The Rental Agents does not itself lease, sublease, rent, manage, inspect, insure, guarantee, or take possession of any property listed on the Marketplace, and no agent, broker, or representative of The Rental Agents reviews, negotiates, drafts, witnesses, or is a signatory to any lease, sublease, roommate agreement, or occupancy arrangement concluded between Users through the Marketplace, unless expressly agreed to in a separate, signed brokerage mandate.

2.2 No agency, brokerage, partnership, joint venture, or employment relationship is created between The Rental Agents and any User of the Marketplace by virtue of that User's use of the self-serve Marketplace functionality. The Rental Agents is not, and shall not be construed to be, a landlord, tenant, sublessor, sublessee, property manager, real estate broker, or real estate agent in respect of any Listing posted by a User, nor a party, guarantor, witness, or intermediary to any lease or occupancy agreement concluded between Users.

2.3 Users transact directly with one another, at their own initiative and their own risk. Any lease, sublease, deposit, occupancy agreement, verbal understanding, or other arrangement entered into between Users as a result of a connection made through the Marketplace is a private arrangement exclusively between those Users. The Rental Agents is not a party to, and assumes no responsibility, obligation, or liability whatsoever arising from, any such arrangement, including but not limited to its formation, performance, breach, termination, or any dispute arising therefrom.

2.4 The Marketplace may resemble, and is intentionally modeled as, a self-serve classifieds or peer-to-peer listing environment, similar in nature to other online marketplaces where third parties transact directly with one another. Users acknowledge that this model is fundamentally different from The Rental Agents' traditional brokerage services, and that the vetting, representation, and protections associated with a full-service brokerage engagement do not apply to Marketplace use unless a separate written mandate says otherwise.

2.5 The Rental Agents does not guarantee that any Listing will result in a completed rental, that any User will honour the terms discussed, or that any property is currently available, accurately priced, habitable, or free of defect. The existence of a Listing on the Marketplace is not, and must never be relied upon as, a representation by The Rental Agents as to the truth of its contents.

3. Eligibility and Account Registration

3.1 To use the Marketplace, you must be at least eighteen (18) years of age and capable of entering into legally binding contracts under the laws of the Province of Québec. By registering, you represent and warrant that you meet these requirements.

3.2 You agree to provide accurate, current, and complete information during registration and to keep such information up to date. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account, whether or not authorized by you.

3.3 You must notify The Rental Agents immediately at rented514@gmail.com of any unauthorized use of your account or any other breach of security. The Rental Agents is not liable for any loss or damage arising from your failure to safeguard your account credentials.

3.4 The Rental Agents reserves the right, in its sole discretion, to refuse registration, or to suspend or terminate any account at any time, with or without notice or cause, including where The Rental Agents believes a User has violated these Terms, engaged in fraudulent conduct, or poses a risk to the integrity, safety, or reputation of the Platform or its Users.

4. Self-Serve Listings — User Responsibilities

4.1 Users, and Users alone, are responsible for the content, accuracy, and legality of every Listing they publish. This includes, without limitation, the property address, description, photographs, rent amount, deposit requirements, availability dates, included utilities or furnishings, and any representation made about the condition, features, or legal status of the property.

4.2 By publishing a Listing, the Lister represents and warrants that:

  • they have the legal right, title, or authority to offer the property, room, or space for rent or sublease, including any required consent from a landlord, co-owner, syndicate of co-ownership, or governing lease where the Lister is not the registered owner;
  • the Listing is accurate, current, and not misleading in any material respect, including as to price, availability, condition, and any photographs or media used;
  • any rental deposit, key deposit, or advance sought complies with applicable Québec law, including the Civil Code of Québec and the rules applied by the Tribunal administratif du logement ("TAL"), which generally prohibit a lessor from requiring an advance of more than the first month's rent and prohibit a security or damage deposit of the kind used in other provinces;
  • the Listing does not violate any municipal by-law, condominium declaration, zoning restriction, or short-term rental regulation, including rules concerning tourist accommodation establishments under Québec law;
  • the Listing and any related communications comply with the Charter of Human Rights and Freedoms (Québec) and applicable federal human rights law, and do not discriminate on any prohibited ground, nor contain unlawful, defamatory, fraudulent, or deceptive content;
  • all photographs and media are either owned by the Lister, used with permission, or otherwise appropriately licensed, and accurately depict the property being offered.

4.3 The Rental Agents does not review, verify, approve, edit, or endorse Listings prior to or after publication, except where an automated or manual moderation process is used to screen for prohibited content as described in Section 8. The presence of a Listing on the Marketplace does not constitute any form of certification, verification, or endorsement by The Rental Agents of the Lister's ownership rights, the property's condition, or the accuracy of any statement contained in the Listing.

4.4 Renters and prospective tenants are solely responsible for independently verifying any Listing before entering into a rental arrangement, including by visiting the property in person where possible, requesting proof of ownership or authority to sublet, confirming identity, and satisfying themselves as to the legitimacy of the Lister and the accuracy of the Listing.

5. No Verification, No Background Checks, and No Endorsement

THE RENTAL AGENTS DOES NOT CONDUCT IDENTITY VERIFICATION, CREDIT CHECKS, CRIMINAL BACKGROUND CHECKS, EMPLOYMENT VERIFICATION, REFERENCE CHECKS, OR ANY OTHER SCREENING OF USERS, LISTERS, OR RENTERS, UNLESS EXPRESSLY STATED OTHERWISE FOR A SPECIFIC FEATURE. ANY DECISION TO RENT TO, RENT FROM, MEET WITH, OR OTHERWISE ENGAGE WITH ANOTHER USER IS MADE ENTIRELY AT YOUR OWN DISCRETION AND RISK.

5.1 The Rental Agents makes no representation or warranty regarding the identity, character, criminal history, creditworthiness, solvency, intentions, or conduct of any User, whether Lister or Renter. Any badge, verification mark, review, rating, or similar indicator that may appear on the Platform reflects, at most, limited self-reported or algorithmic information and is not a guarantee of any kind.

5.2 You acknowledge that interacting with strangers online and meeting them in person carries inherent risk, and you agree to exercise reasonable caution, including meeting in safe, public, or well-lit locations where appropriate, informing a third party of your plans, and never sending money or deposits before verifying the legitimacy of the other party and the property in question.

6. Communications Between Users

6.1 The Platform may provide an in-app or on-site messaging feature allowing Users to communicate directly with one another regarding Listings ("Platform Messaging") without needing to exchange personal contact information such as phone numbers or personal email addresses, should Users prefer this.

6.2 The Rental Agents is not a party to, does not monitor in real time, and assumes no responsibility for the content of any communication exchanged between Users, whether through Platform Messaging or otherwise, including but not limited to negotiations, representations, promises, agreements, threats, harassment, or any other statement made by one User to another. Users are solely responsible for the content and consequences of their own communications.

6.3 The Rental Agents reserves the right, but assumes no obligation, to monitor, review, retain, or disclose the content of Platform Messaging where required by law, where necessary to protect the rights, property, or safety of The Rental Agents, its Users, or the public, or to investigate suspected violations of these Terms.

6.4 Users must not use Platform Messaging or any contact information obtained through the Marketplace to send unsolicited commercial messages, spam, phishing attempts, or content unrelated to a legitimate rental inquiry.

7. Fees

7.1 The Rental Agents may, in its discretion, offer certain Marketplace features free of charge and may charge fees for certain premium features, such as featured or promoted Listings, at rates disclosed on the Platform at the time of purchase. All fees are in Canadian dollars (CAD) and are non-refundable except as required by law or as otherwise expressly stated at the time of purchase.

7.2 The Rental Agents does not charge, collect, hold, remit, or otherwise process rent, deposits, or any other funds exchanged between Users in connection with a rental transaction concluded through the Marketplace, unless a specific, separate payment feature is expressly offered and agreed to in writing. Any exchange of money between a Lister and a Renter occurs entirely outside the Platform and at the Users' own risk.

7.3 The Rental Agents reserves the right to modify its fee structure at any time, with reasonable notice to Users, such notice to be provided by posting updated fees on the Platform or by direct communication.

8. Prohibited Conduct

In using the Marketplace, you agree that you will not:

  • post a Listing for a property you do not own, do not have authority to rent or sublet, or that does not exist;
  • post false, misleading, fraudulent, or duplicate Listings, including "bait-and-switch" listings advertising a property or price that is not genuinely available;
  • request or accept a security or damage deposit, or any advance payment exceeding one month's rent, in a manner inconsistent with Québec law;
  • harass, threaten, defame, or discriminate against any other User on any ground prohibited by the Charter of Human Rights and Freedoms or other applicable law;
  • use the Marketplace to advertise, solicit, or conduct any illegal activity, including unlicensed short-term or tourist accommodation where prohibited;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity, including The Rental Agents;
  • scrape, harvest, or collect data from the Platform using automated means, or use Listings or User data for any purpose other than a legitimate rental inquiry;
  • circumvent, disable, or otherwise interfere with security-related features of the Platform, or attempt to gain unauthorized access to other Users' accounts or to The Rental Agents' systems;
  • use the Marketplace to solicit business unrelated to residential rental, including unrelated commercial advertising, multi-level marketing, or unrelated services;
  • upload content that infringes any third party's intellectual property, privacy, or other legal rights, or that contains viruses, malware, or other harmful code.

The Rental Agents reserves the right to remove any Listing or content, and to suspend or terminate any account, at any time and without notice, where it reasonably believes this Section has been violated, without liability to the User whose Listing or account is removed or suspended.

9. Content Ownership and License

9.1 As between you and The Rental Agents, you retain ownership of the text, photographs, and other content you submit to the Marketplace ("User Content").

9.2 By submitting User Content, you grant The Rental Agents a non-exclusive, royalty-free, worldwide, sublicensable licence to host, store, reproduce, display, distribute, and adapt such User Content solely for the purposes of operating, promoting, and improving the Platform, including displaying Listings to other Users and, where you have separately consented, in The Rental Agents' own marketing and social media content.

9.3 You represent and warrant that you own or have all necessary rights to the User Content you submit and that its use as contemplated by these Terms does not infringe the rights of any third party.

9.4 All trademarks, logos, branding, software, and platform design are the exclusive property of The Rental Agents or its licensors, and nothing in these Terms grants you any right to use them except as necessary to use the Marketplace as intended.

10. Disclaimer of Warranties

THE PLATFORM AND THE MARKETPLACE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR QUIET ENJOYMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE QUÉBEC OR CANADIAN LAW.

10.1 The Rental Agents does not warrant that the Platform will be uninterrupted, secure, timely, or error-free, that defects will be corrected, or that the Platform or the servers that make it available are free of viruses or other harmful components.

10.2 The Rental Agents does not warrant the accuracy, completeness, legality, safety, or reliability of any Listing, User Content, or communication posted or transmitted through the Marketplace by any User, nor the conduct, identity, or intentions of any User.

10.3 Nothing in this Section 10 is intended to exclude or limit any warranty, guarantee, or protection that cannot lawfully be excluded or limited under the Consumer Protection Act (Québec) or other mandatory consumer protection legislation applicable to you, where you are dealing with The Rental Agents as a consumer in respect of a paid feature of the Platform.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE RENTAL AGENTS, ITS DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, LICENSED BROKERS, CONTRACTORS, AND AFFILIATES (COLLECTIVELY, THE "RELEASED PARTIES") SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE MARKETPLACE; (B) ANY LISTING, USER CONTENT, OR COMMUNICATION POSTED, SENT, OR RECEIVED THROUGH THE MARKETPLACE; (C) ANY CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY ON OR OFF THE PLATFORM, INCLUDING ANY DEFAMATORY, OFFENSIVE, FRAUDULENT, OR ILLEGAL CONDUCT; (D) ANY LEASE, SUBLEASE, DEPOSIT, PAYMENT, OR OTHER TRANSACTION OR ARRANGEMENT CONCLUDED, ATTEMPTED, OR FAILED TO BE CONCLUDED BETWEEN USERS; (E) ANY PROPERTY DEFECT, MISREPRESENTATION, INJURY, THEFT, OR DAMAGE OCCURRING AT OR IN CONNECTION WITH ANY LISTED PROPERTY; OR (F) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, WHETHER SUCH LIABILITY ARISES IN CONTRACT, TORT (INCLUDING NEGLIGENCE), EXTRA-CONTRACTUAL (CIVIL) LIABILITY, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.1 Aggregate liability cap. To the fullest extent permitted by applicable law, the total aggregate liability of the Released Parties to you for any and all claims arising out of or relating to your use of the Marketplace, whether in contract, tort, extra-contractual liability, or otherwise, shall not exceed the greater of: (a) the total fees, if any, paid by you to The Rental Agents for use of the Marketplace in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred Canadian dollars (CAD $100).

11.2 The limitations in this Section 11 apply regardless of the number of claims and are a fundamental basis of the bargain between you and The Rental Agents, without which The Rental Agents would not make the Marketplace available on a self-serve basis.

11.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by the gross negligence or wilful misconduct of The Rental Agents itself, fraud, or any other liability which cannot be excluded or limited as a matter of Québec public order under the Civil Code of Québec or the Consumer Protection Act. Article 1474 of the Civil Code of Québec provides that a person may not exclude or limit liability for bodily or moral injury caused to another through an intentional or gross fault, and nothing herein shall be interpreted to attempt to do so.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use or misuse of the Marketplace; (b) any Listing or User Content you post; (c) your breach of these Terms or any representation or warranty made herein; (d) your violation of any applicable law, including Québec rental and consumer protection law; (e) any dispute, transaction, or interaction between you and another User, including any lease, sublease, deposit, or occupancy arrangement; or (f) your infringement of any third party's rights, including intellectual property or privacy rights.

The Rental Agents reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with The Rental Agents' defence of such claim.

13. Assumption of Risk and User Safety

13.1 You acknowledge and agree that renting, subletting, or otherwise transacting in residential real estate through a peer-to-peer marketplace involves inherent risks, including but not limited to the risk of fraud, misrepresentation, property defects, personal safety risks when meeting other Users or visiting properties, and financial loss.

13.2 You expressly assume all such risks and agree that your use of the Marketplace, and any decision to meet, correspond with, rent from, or rent to another User, is entirely voluntary and at your own risk. The Rental Agents strongly recommends that Users independently verify the identity and legitimacy of any counterparty, visit properties in person before making any payment, obtain a written lease compliant with Québec law, including the mandatory Tribunal administratif du logement lease form where applicable, and never transfer funds without appropriate safeguards.

14. Compliance with Québec Rental Law

14.1 Users acknowledge that residential leases in Québec are governed by the Civil Code of Québec (articles 1892 to 2000) and administered, in respect of disputes, by the Tribunal administratif du logement. Users are solely responsible for ensuring that any lease or sublease concluded between them complies with these rules, including as to notice periods, lease renewal rights, the prohibition on security deposits beyond the first month's rent, and the tenant's right to a copy of the lease within specified delays.

14.2 The Rental Agents does not provide legal advice, and nothing on the Marketplace, including any template, guide, or informational content, constitutes legal advice. Users are encouraged to consult a lawyer, notary, or the Tribunal administratif du logement directly with any questions regarding their rights and obligations as landlord or tenant.

14.3 Where a Lister is a licensed real estate broker or agent acting in that capacity in respect of a specific Listing, such Lister remains solely responsible for complying with the Real Estate Brokerage Act and the regulations and code of ethics of the Organisme d'autoréglementation du courtage immobilier du Québec (OACIQ) applicable to that Listing, independently of these Terms.

15. Reviews and Ratings

15.1 The Platform may permit Users to leave reviews or ratings of other Users following an interaction on the Marketplace. Reviews must be honest, based on an actual interaction, and must not contain defamatory, harassing, or unlawful content.

15.2 The Rental Agents does not verify the accuracy of reviews and is not liable for any review posted by a User. The Rental Agents reserves the right, but not the obligation, to remove any review that violates these Terms.

16. Privacy

Your use of the Marketplace is also governed by The Rental Agents' Privacy Policy (Document 2 of this file), which describes how personal information is collected, used, and disclosed in accordance with Québec's Act respecting the protection of personal information in the private sector (as amended by Law 25) and, where applicable, the federal Personal Information Protection and Electronic Documents Act (PIPEDA). By using the Marketplace, you consent to the collection and use of your information as described in the Privacy Policy.

17. Third-Party Links and Services

The Marketplace may contain links to third-party websites, payment processors, mapping services, or other tools not owned or controlled by The Rental Agents. The Rental Agents assumes no responsibility for the content, privacy practices, or terms of any third-party service, and your use of any such third-party service is at your own risk and subject to that third party's own terms.

18. Suspension and Termination

18.1 The Rental Agents may suspend or terminate your access to the Marketplace, remove any Listing, or restrict any feature, at any time, with or without cause or notice, including where required to comply with law, to protect the safety or rights of Users or third parties, or where The Rental Agents believes these Terms have been violated.

18.2 You may deactivate your account at any time by contacting rented514@gmail.com. Sections of these Terms that by their nature should survive termination — including Sections 2, 10, 11, 12, 13, 19, and 20 — shall survive any termination or expiry of these Terms.

19. Dispute Resolution Between Users

19.1 Any dispute arising between Users in connection with a Listing, lease, sublease, deposit, or other arrangement is solely between those Users. The Rental Agents is not obligated to mediate, investigate, or resolve any such dispute, although it may, in its sole discretion and without obligation, assist Users in good faith by facilitating communication.

19.2 Disputes concerning residential leases in Québec generally fall within the exclusive jurisdiction of the Tribunal administratif du logement. Users are directed to that tribunal, or to the Québec courts of competent jurisdiction, or to small claims court, as appropriate, for the resolution of disputes with other Users.

20. Governing Law and Jurisdiction

20.1 These Terms, and any dispute arising out of or in connection with them or your use of the Marketplace (excluding disputes between Users, which are addressed in Section 19), shall be governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

20.2 Subject to any mandatory consumer protection rights you may have to bring proceedings in your place of residence, you and The Rental Agents agree that any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts of the judicial district of Montréal, Québec, and you attorn to the exclusive jurisdiction of such courts.

20.3 Nothing in this Section 20 restricts your right, as a consumer under the Consumer Protection Act (Québec), to institute proceedings before the court of your domicile, nor limits any right you may have to participate in a class action, to the extent such rights cannot be waived as a matter of Québec public order.

21. Modifications to These Terms

The Rental Agents reserves the right to amend these Terms at any time by posting an updated version on the Platform and updating the "Last Updated" date above. Material changes will be notified to Users through the Platform or by email where reasonably practicable. Your continued use of the Marketplace following any such change constitutes your acceptance of the revised Terms.

22. General Provisions

22.1 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

22.2 No waiver. The failure of The Rental Agents to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

22.3 Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without The Rental Agents' prior written consent. The Rental Agents may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

22.4 Entire agreement. These Terms, together with the Privacy Policy and Community and Conduct Guidelines contained in this file, constitute the entire agreement between you and The Rental Agents regarding the Marketplace and supersede all prior or contemporaneous agreements, representations, or understandings regarding the same subject matter.

22.5 Language. The parties have expressly requested that these Terms and all related documents be drawn up in English. Les parties ont expressément exigé que la présente convention et tous les documents s'y rattachant soient rédigés en anglais. Both an English and a French version are provided in this file for the parties' convenience; in case of conflict, the version required by applicable Québec consumer-protection law shall govern.

22.6 No legal advice. These Terms are a general template prepared for The Rental Agents' internal use and do not constitute legal advice. The Rental Agents should have these Terms reviewed by a licensed Québec lawyer before publishing them, particularly regarding compliance with the Consumer Protection Act and any provision purporting to limit liability toward consumers, before relying on them in production.

DOCUMENT 2: PRIVACY POLICY

1. Introduction

9543-1474 Québec Inc., operating as The Rental Agents ("The Rental Agents," "we," "us," or "our"), respects your privacy and is committed to protecting the personal information of users of our website, mobile applications, and self-serve rental marketplace (collectively, the "Platform").

This Privacy Policy ("Policy") is published in accordance with the Act respecting the protection of personal information in the private sector, CQLR c P-39.1, as amended by the Act to modernize legislative provisions as regards the protection of personal information ("Law 25"), and, where applicable, the federal Personal Information Protection and Electronic Documents Act ("PIPEDA"). It describes what personal information we collect, why we collect it, how we use, disclose, retain, and protect it, and the rights you may exercise in respect of it.

This Policy applies to all Users of the Platform, including Listers and Renters using the self-serve marketplace, and forms part of, and should be read together with, our Platform Terms and Conditions (Document 1 of this file).

2. Privacy Officer

2.1 In accordance with section 3.1 of the Act respecting the protection of personal information in the private sector, the person with the highest authority within The Rental Agents is, by default, responsible for ensuring compliance with this Policy and applicable privacy law. This responsibility has been delegated to our designated Privacy Officer.

3. Personal Information We Collect

Depending on how you use the Platform, we may collect the following categories of personal information:

  • Account and identity information: name, email address, telephone number, mailing address, date of birth (where required), and password (stored in encrypted/hashed form);
  • Listing content: property address, description, photographs, rent amount, availability, and any other information you choose to include in a Listing you publish;
  • Communications: the content of messages exchanged with other Users through Platform Messaging, and any correspondence you send to us directly;
  • Payment information (where applicable): billing name, address, and payment card details for any paid Platform features, processed through our third-party payment processor, which does not store full card details on our own servers;
  • Technical and usage information: IP address, device and browser type, pages visited, referring URLs, cookies and similar tracking technologies, and general location information inferred from your IP address or, with your consent, precise geolocation;
  • Information from other Users: reviews, ratings, or reports submitted by other Users about you, and information Renters or Listers may provide about you in the course of a rental inquiry.

We do not knowingly collect biometric information, and we do not knowingly collect personal information from anyone under the age of 18. If we become aware that we have inadvertently collected personal information from a minor, we will delete it promptly.

4. Purposes of Collection

In accordance with the requirement that purposes of collection be identified before or at the time personal information is collected, we collect and use personal information for the following purposes:

  • to create and administer your account and authenticate your identity when you log in;
  • to publish and display your Listings to other Users of the Marketplace;
  • to enable communication between Users through Platform Messaging;
  • to process payment for any paid features of the Platform;
  • to operate, maintain, secure, and improve the Platform, including diagnosing technical issues and preventing fraud, abuse, and violations of our Terms and Conditions;
  • to communicate with you about your account, respond to inquiries, and, where you have consented, to send you marketing or promotional communications, which you may opt out of at any time;
  • to comply with applicable legal obligations, including responding to lawful requests from public authorities and defending or pursuing legal claims.

We only collect the personal information that is necessary for these identified purposes, in accordance with the principle of data minimization.

5. Consent

5.1 By creating an account or otherwise submitting personal information to the Platform, you consent to its collection, use, and disclosure as described in this Policy. Where required by law, we will obtain your express consent separately, in particular for the use of sensitive personal information or for purposes not described in this Policy.

5.2 Consent must be clear, free, and informed, and given for specific purposes. Where we request your consent in writing, that request will be presented separately from any other information provided to you, in plain and simple language.

5.3 You may withdraw your consent to the collection, use, or disclosure of your personal information at any time, subject to legal or contractual restrictions and reasonable notice, by contacting the Privacy Officer. Withdrawing consent may limit or prevent your ability to use certain features of the Platform, including publishing or responding to Listings.

6. Disclosure to Third Parties

6.1 We do not sell your personal information. We may disclose personal information to the following categories of third parties, solely for the purposes described in Section 4:

  • other Users, to the extent necessary to facilitate a rental inquiry (for example, a Renter's message and profile information may be shared with a Lister they contact, and vice versa);
  • service providers who perform functions on our behalf, such as cloud hosting, payment processing, analytics, and customer support, under contractual obligations of confidentiality consistent with this Policy;
  • professional advisors, including lawyers and accountants, where necessary;
  • public authorities or law enforcement, where required or authorized by law, including in response to a valid legal request, or where necessary to protect the rights, safety, or property of The Rental Agents, its Users, or the public;
  • a purchaser or successor in the event of a merger, acquisition, reorganization, or sale of all or substantially all of our assets, subject to that party assuming equivalent privacy obligations.

6.2 Cross-border transfers. Where personal information is transferred, stored, or processed outside Québec, including by service providers located in other Canadian provinces or outside Canada, we conduct a privacy impact assessment beforehand to confirm that the information will receive protection equivalent to that afforded under Québec law, taking into account the sensitivity of the information, the purposes for which it will be used, the protective measures in place, and the legal framework applicable in the destination jurisdiction. Where required, such transfers are governed by written agreements incorporating appropriate safeguards.

7. Retention and Destruction

We retain personal information only for as long as necessary to fulfill the purposes described in this Policy, or as required by applicable law, including limitation periods under the Civil Code of Québec. When personal information is no longer necessary for these purposes, we will destroy it, anonymize it, or de-identify it, in a secure manner appropriate to the sensitivity of the information.

8. Security Safeguards and Incident Notification

8.1 We implement physical, administrative, and technical security measures appropriate to the sensitivity of the personal information we hold, in order to protect it against loss, theft, unauthorized access, disclosure, copying, use, or modification. These measures include, where applicable, encryption, access controls, and confidentiality-by-default configuration of Platform features that collect personal information.

8.2 Confidentiality incident notification. In the event of a confidentiality incident involving personal information that presents a risk of serious injury to an affected individual, we will notify the Commission d'accès à l'information du Québec ("CAI") and every affected individual, without delay, and maintain a register of confidentiality incidents in accordance with Law 25. We will also take reasonable measures to reduce the risk of injury and to prevent similar incidents from recurring.

9. Your Privacy Rights

Subject to applicable law, you have the following rights in respect of your personal information, which you may exercise by writing to the Privacy Officer:

  • Right of access: to request confirmation of whether we hold personal information about you and to obtain a copy of it, subject to identity verification;
  • Right of rectification: to request correction of personal information about you that is inaccurate, incomplete, or ambiguous, or that was collected unlawfully;
  • Right to withdraw consent: as described in Section 5.3;
  • Right to de-indexation and cessation of dissemination: where the dissemination of personal information about you contravenes the law or a court order, you may request that we cease disseminating it, de-index it, or re-index it, subject to a balancing of your rights against the public's right to information;
  • Right to data portability: to request that computerized personal information you have provided to us be communicated to you, or to a third party, in a structured, commonly used technological format, where technically feasible;
  • Right to be informed of automated decision-making: where a decision is made about you based exclusively on automated processing of your personal information, you have the right to be informed of this and, on request, to be informed of the personal information used, the reasons and principal factors leading to the decision, and your right to have the information corrected.

We will respond to a written request within thirty (30) days of receipt. If we cannot meet this deadline, we will notify you and provide a revised timeline. There is no charge for a first request; reasonable fees may apply to subsequent or repetitive requests, as permitted by law.

If you are not satisfied with our response, you have the right to file a complaint with the Commission d'accès à l'information du Québec (www.cai.gouv.qc.ca).

10. Cookies and Tracking Technologies

The Platform uses cookies and similar technologies to operate core features, remember your preferences, understand how the Platform is used, and, where you consent, to support analytics and marketing. Non-essential cookies are disabled by default in accordance with the principle of privacy by default, and you will be asked for your consent before non-essential cookies are activated. You may manage or withdraw cookie consent at any time through your browser settings or our cookie management tool, where available.

11. Automated Decision-Making and Profiling

We may use automated tools, such as spam and fraud filters or search ranking algorithms, to moderate Listings or personalize search results. Where such tools are used to render a decision based exclusively on automated processing that produces legal or similarly significant effects concerning you, we will inform you of this at or before the time of the decision, and you may request the information described in Section 9 and ask that a member of our staff review the decision.

12. Minors

The Platform is not directed at, and is not intended to be used by, individuals under the age of 18. We do not knowingly collect personal information from minors. A parent or guardian who believes a minor has provided us with personal information should contact the Privacy Officer so that it can be deleted.

13. Changes to This Policy

We may update this Policy from time to time to reflect changes in our practices or legal obligations. The "Last Updated" date at the top of this file indicates when it was last revised. Material changes will be communicated through the Platform or by email where reasonably practicable.

This Policy is a general template prepared for internal use and should be reviewed by a licensed Québec lawyer familiar with Law 25 before publication, particularly to confirm the Privacy Officer designation, to conduct any required privacy impact assessments for cross-border service providers (e.g., U.S.-based hosting or payment processors), and to confirm breach-notification procedures are operationally in place.

DOCUMENT 3: COMMUNITY AND CONDUCT GUIDELINES

1. Purpose of These Guidelines

These Community and Conduct Guidelines (the "Guidelines") describe the standards of conduct expected of everyone who uses the self-serve marketplace feature of The Rental Agents' Platform (the "Marketplace"). They are incorporated by reference into, and form part of, our Platform Terms and Conditions (Document 1 of this file). Capitalized terms used but not defined here have the meaning given to them in the Terms and Conditions.

Our goal is to keep the Marketplace a trustworthy, respectful, and safe space where Listers and Renters can connect directly and in good faith. These Guidelines exist to protect Users from fraud, harassment, and bad-faith listings — not to make The Rental Agents a party to, or guarantor of, any transaction between Users.

2. Who These Guidelines Apply To

These Guidelines apply to every registered User of the Marketplace, including individuals posting Listings ("Listers") and individuals browsing or responding to Listings ("Renters"), for every interaction that takes place on or is initiated through the Platform, including Platform Messaging, Listing content, photographs, reviews, and any information exchanged in connection with a Listing.

3. Listing Standards

When you publish a Listing, you must:

  • only list a property you own or that you have clear authority to rent, sublease, or advertise;
  • use your own photographs, or photographs you are licensed to use, that accurately and currently depict the property;
  • state the true asking rent, an accurate address or general location, and true availability dates — "bait" listings designed to generate inquiries for a different or non-existent unit are strictly prohibited;
  • disclose any condition, restriction, or shared-living arrangement a reasonable Renter would want to know before inquiring (for example, a shared bathroom, no-pet policy, or co-tenancy);
  • request deposits, if any, only in a manner consistent with Québec law — remember that under the Civil Code of Québec, a landlord generally cannot require an advance of more than the first month's rent, and damage/security deposits of the type used in other provinces are not permitted;
  • keep your Listing up to date, and remove or mark it unavailable promptly once the property is rented.

4. Respectful Communication

All communication on the Marketplace, whether through Platform Messaging, Listing comments, or reviews, must be respectful and professional. The following are never permitted:

  • harassment, threats, hate speech, or discriminatory remarks based on race, colour, sex, gender identity or expression, pregnancy, sexual orientation, civil status, age, religion, political convictions, language, ethnic or national origin, social condition, or disability;
  • requests for inappropriate personal information unrelated to a legitimate rental inquiry (for example, financial account numbers, social insurance numbers, or copies of government ID sent outside a secure, agreed process);
  • unsolicited commercial messages, spam, or attempts to advertise unrelated products or services;
  • attempts to pressure a User into transacting outside the Platform in order to avoid safety features, reviews, or accountability, where such features are offered.

5. Safety Recommendations

The Rental Agents does not verify the identity, criminal history, or creditworthiness of Users. To help you protect yourself, we strongly recommend that you:

  • communicate through the Platform initially, before sharing personal contact information;
  • visit any property in person before signing a lease or making any payment;
  • ask a Lister for reasonable proof of ownership or authority to rent (for example, a recent municipal tax bill, deed, or the governing lease if subletting);
  • meet in person during daylight hours where possible, and consider bringing a friend or family member to a first viewing;
  • never send a deposit, first month's rent, or any other payment by e-transfer, wire, or cash before viewing the unit and receiving a signed, compliant Québec lease;
  • use the mandatory Tribunal administratif du logement lease form for any residential tenancy, and consult the Tribunal's website or a legal professional if you are unsure of your rights as landlord or tenant;
  • trust your instincts — if a deal seems too good to be true, or a Lister refuses a showing, pressures you to pay quickly, or cannot verify their identity, walk away and report the Listing.

6. Prohibited Content and Conduct

In addition to the conduct prohibited in Sections 3 and 4 above, and in Section 8 of the Terms and Conditions, you must never use the Marketplace to:

  • post content that is false, fraudulent, defamatory, obscene, or that infringes another person's intellectual property or privacy rights;
  • impersonate The Rental Agents, another User, or any other person or entity;
  • advertise illegal short-term or tourist accommodation where such use is not permitted by municipal or provincial law;
  • collect or "scrape" Listings, contact information, or other User data for any purpose outside a legitimate rental inquiry;
  • attempt to circumvent, disable, or interfere with any safety, moderation, or security feature of the Platform.

7. Reporting a Concern

If you encounter a Listing, message, or User that you believe violates these Guidelines or our Terms and Conditions, or that you believe is fraudulent, discriminatory, or unsafe, please report it immediately using the in-Platform reporting tool where available, or by emailing rented514@gmail.com with as much detail as possible, including the Listing link, User name, and a description of the concern.

The Rental Agents will review reports on a reasonable-efforts basis and may, at its sole discretion, remove content, suspend or terminate accounts, or take other action it considers appropriate. The Rental Agents is not obligated to investigate or resolve every report, and reviewing a report does not make The Rental Agents a party to, or mediator of, any dispute between Users.

If you believe you have been the victim of fraud, theft, or a crime in connection with a Marketplace interaction, please also contact your local police service and, where the matter concerns your tenancy rights, the Tribunal administratif du logement.

8. Enforcement

Violation of these Guidelines may result in one or more of the following, at The Rental Agents' sole discretion and without prior notice: removal of a Listing, message, or review; a warning; temporary suspension of your account; or permanent termination of your account and access to the Marketplace. The Rental Agents may also refuse to reinstate an account it has closed. Enforcement decisions under these Guidelines do not constitute, and must not be relied upon as, a determination of any dispute between Users, nor do they expose The Rental Agents to liability for any User's conduct, in accordance with Sections 10, 11, and 19 of the Terms and Conditions.

9. Changes to These Guidelines

We may update these Guidelines from time to time to address new risks or improve the Marketplace community. The "Last Updated" date above reflects the most recent revision. Continued use of the Marketplace after an update constitutes acceptance of the revised Guidelines.
